Terms & Conditions | GPSUK | GPSUK — Branded Promotional Products

These terms and conditions ("Terms") govern the supply of goods and services by GPSUK Ltd ("GPSUK", "we", "us", "our") to its business customers ("Customer", "you"). By placing an order you agree to be bound by these Terms.

1. Definitions

Goods — the branded promotional products you order from GPSUK.
Order — your request to purchase Goods, placed via our storefront, a quote acceptance, or by email.
Artwork — the logos, images, text or files you supply for decoration on the Goods.
Proof — a digital visual mockup showing how the Goods will look with your Artwork applied.

2. Ordering and acceptance

All Orders are subject to acceptance by GPSUK. We will confirm acceptance by email (including the assignment of an order number). A contract is formed at the point of confirmation. We reserve the right to refuse or cancel any Order at our discretion.

3. Pricing and payment

All prices are quoted in Pound Sterling (GBP) and are exclusive of VAT unless stated otherwise.
Prices may change without notice; your Order will be invoiced at the price shown on your confirmation.
For credit-approved accounts, standard payment terms are Net 30 from the invoice date unless otherwise agreed in writing.
Card, BACS and invoice payments are accepted. Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
Title to the Goods remains with GPSUK until payment has been received in full.

4. Artwork and proofs

You are responsible for supplying Artwork in the correct file format and for ensuring you have the right to use it.
GPSUK will provide a digital proof before production begins. Production does not start until the proof is approved by you.
Once you approve a proof, you accept responsibility for the appearance of the final Goods as shown.
You indemnify GPSUK against any claims arising from your use of third-party intellectual property in the Artwork you supply.

5. Production and lead times

Lead times are quoted as working days from the date of proof approval. GPSUK will make reasonable efforts to meet quoted lead times, but these are indicative and not guaranteed unless expressly confirmed in writing as an "express" or "guaranteed" deadline.

6. Delivery, risk and title

Delivery is made to the address specified on your Order.
Risk in the Goods passes to you on delivery.
Title in the Goods only passes to you when GPSUK has received full payment.
Any delivery dates are estimates; we are not liable for delays caused by third-party couriers or events outside our reasonable control.

7. Returns and cancellations

Because Goods are branded to your specification, they are bespoke and non-returnable except in the case of a manufacturing defect or material error on our part. If you believe the Goods are defective, you must notify us in writing within 7 days of delivery, providing photographs and a description of the issue. Accepted defective Goods will be replaced, reworked or refunded at our discretion.

8. Intellectual property

You retain ownership of your logos and Artwork.
GPSUK retains ownership of the product designs, molds, tooling and any production files created during manufacture.
You grant GPSUK a non-exclusive licence to reproduce your Artwork solely for the purpose of fulfilling your Order.

9. Limitation of liability

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded. Subject to that:

Our total liability under or in connection with any Order shall not exceed the total price paid for that Order.
We are not liable for indirect or consequential loss, including loss of profit, loss of business, or loss of goodwill.
We are not liable for delays or failures caused by events outside our reasonable control (force majeure), including but not limited to strikes, supplier insolvency, natural disasters, pandemic, acts of government, or transportation disruption.

10. Data protection

We process your personal data in accordance with our Privacy Policy. By placing an Order you acknowledge and agree to the terms of that policy.

11. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising under or in connection with them shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Variation

GPSUK reserves the right to vary these Terms at any time. The version in force at the time your Order is accepted will apply to that Order.
